Terms of Service

These Terms of Service ("Terms") govern your use of the moesia.xyz website and the services provided by Moesia ("Moesia", "we", "us"). By accessing our website or engaging our services, you agree to these Terms.
1. Services
Moesia provides custom software development, web design and development, hosting and maintenance, and digital advertising management - including managing Google Ads accounts on behalf of clients. The specific scope, deliverables, fees, and timeline of any engagement are defined in a separate written agreement or proposal.
2. Client responsibilities
You agree to provide accurate information, timely feedback, and any access or authorizations needed to perform the services (for example, linking advertising accounts you own or are authorized to manage). You are responsible for the legality and accuracy of materials and content you provide to us.
3. Fees and payment
Fees, billing schedules, and advertising budgets are set out in the applicable agreement. Advertising spend (for example, amounts paid to Google) is separate from our management fees and is your responsibility unless otherwise agreed. Invoices are due as specified in the agreement.
4. Intellectual property
Unless otherwise agreed in writing, ownership of deliverables transfers to you upon full payment. We retain ownership of our pre-existing tools, frameworks, and know-how. You retain ownership of your brand, content, and accounts.
5. Third-party platforms
Our services may rely on third-party platforms such as Google Ads. Your use of those platforms is subject to their own terms and policies. We are not responsible for changes, outages, or decisions made by those platforms, including ad disapprovals or account actions taken by Google.
6. Disclaimers and limitation of liability
Services are provided "as is" without warranties of any kind to the extent permitted by law. We do not guarantee specific advertising results or business outcomes. To the maximum extent permitted by law, Moesia's total liability arising from an engagement is limited to the fees paid to us for that engagement.
7. Termination
Either party may terminate an engagement as set out in the applicable agreement. Upon termination, you remain responsible for fees and advertising spend incurred up to the termination date, and we will hand over access and deliverables that you own.
8. Governing law
These Terms are governed by the laws of the Republic of Bulgaria, without regard to conflict-of-law principles. Any disputes will be subject to the competent courts of the Republic of Bulgaria.
